ANNUAL COMMIT MICROSOFT CSP LICENSE ADDENDUM

This Annual Commit Addendum supplements the CSP Addendum and the Master Services Agreement between EZETECH LLC (“EZETECH”) and Client (“Customer”). It applies to all Microsoft CSP subscriptions purchased on an annual or multi-year commitment.

ANNUAL COMMITMENT REQUIREMENT

Customer acknowledges that annual and multi-year CSP licenses are irrevocable commitments imposed by Microsoft. Once provisioned, licenses cannot be canceled, reduced, suspended, or refunded for any reason.

BILLING OBLIGATION

Customer is financially responsible for 100 percent of the committed license term, regardless of usage, staffing changes, business closure, merger, acquisition, or dissatisfaction with services.

NO EARLY TERMINATION RELIEF

Early termination of the MSA, SOW, or CSP Addendum does not release Customer from payment obligations for committed CSP licenses. EZETECH will continue billing until the end of the commitment term.

DOWNGRADES AND REDUCTIONS

License reductions, seat decreases, or plan downgrades are not permitted during the commitment period unless Microsoft explicitly allows them. EZETECH has no authority to override Microsoft restrictions.

PRICE ADJUSTMENTS

Pricing for annual CSP licenses may increase at renewal due to Microsoft pricing changes, currency fluctuations, regulatory fees, or reseller cost increases. Renewal acceptance is implied unless cancelled within the allowed window.

SUSPENSION AND NONPAYMENT

Nonpayment may result in service suspension while billing continues. Microsoft service suspension does not pause financial obligations.
